AI for M&A

AI for M&A: from the data room to the board book. Every figure computed.

AI for M&A is no longer a chat window next to Excel. An AI agent can read the CIM, the model and the comps, compute the valuation and build the pitch book or board book your bank would send. Here is where it helps, what it must never do, and how to keep deal files confidential.

Where AI helps in an M&A process

Most of the hours in an M&A mandate go into presentation work: rebuilding tables, re-running premiums at a new price and aligning boxes on slides, often the night before the board. That is the work an AI agent for M&A takes over, at every stage of the deal.

  • Coverage

    Pitch books by the morning

Strategic alternatives, buyer universes and illustrative valuations for the client meeting, in your bank's template.

  • Execution

    Process updates that write themselves

Outreach logs, NDA and IOI tracking, bid comparisons at each offer price, ready for the weekly call with the client.

  • Valuation

    The football field, computed

Trading comps, precedents, DCF and WACC with sensitivities, from the inputs you give, with every assumption on the page.

  • Financing

    Capital structure on one page

Sources and uses, the equity to enterprise value bridge and leverage at each price, consistent across the book.

  • Fairness

Board materials the committee can follow

Transaction background, process review, valuation perspectives and the disclaimer, in the order a special committee expects.

  • Corporate development

    Your own board, briefed

Target screens, deal rationale and valuation for the investment committee, built from your model and the target's filings.

What an AI agent for M&A does, step by step

An AI agent plans and carries out the work instead of answering one question at a time. With Bendou, a deal team starts from a short brief and reviews each page as it is built.

  1. Reads the deal files. The CIM, the management model, a comps export and last quarter's book. Long PDFs are fine: the agent finds the pages that matter.
  2. Asks what is missing. Purpose, audience and length, then it proposes the storyline before building anything.
  3. Computes and checks every number. Premiums, multiples and implied values are recomputed from your inputs, and each figure is linked to its source page.
  4. Draws the charts the way Excel draws them. Axis scales, gaps, label placement and fonts follow Excel's own geometry.
  5. Lays out the pages in your template. Fonts, colours, banners, footnotes and page numbers, exported to a 16:9 PowerPoint your team can edit.
  6. Keeps the book current. When the bid moves, change the offer price once: every premium, multiple and implied value follows, and the PowerPoint is regenerated.

Why AI for M&A must compute figures, never generate them

A language model writes fluent text, but a premium, a multiple or an implied share price cannot be approximately right. In a board book, one wrong figure costs more than the hours the tool saved.

Bendou separates the two jobs. The agent reads, plans and lays out; premiums, equity and enterprise values, multiples, quartiles, DCF and WACC are calculated from the inputs on each page, never generated by the language model. Every input comes from your files, your messages or a cited public source, so every number can be checked before the book goes out.

  • Figures traced to their source page
  • Change the offer or the share count once: premiums, multiples and implied prices follow
  • A review that reads like a VP's: figures tie out, every number is sourced, the house style holds

AI on confidential deal files

Deal files are inside information. An AI tool for M&A should fit how your compliance team already works, not the other way round.

  • Bendou runs on your firm's server: decks, deal files and conversations stay there.
  • For a long CIM, only the pages that answer the question are sent to the AI model.
  • The AI model is called with your firm's keys, kept in the server configuration, with the provider you choose.
  • The agent works with project codenames, and every page carries your confidentiality footer.

How to choose an AI tool for M&A

Before a pilot, ask each vendor the questions a managing director would ask of a junior's first book.

  1. Where do the numbers come from? Every figure should be computed from inputs and traceable to a source, not written by the model.
  2. Is the output a real PowerPoint? Native text boxes and tables your team can edit, in your template, not screenshots.
  3. Are the charts measured? Ask for a score against PowerPoint's own rendering, not a promise. Bendou publishes its benchmark and shares the brief and the scorer.
  4. Does it know what a good book looks like? Bendou keeps a reference library of more than a hundred presentations that leading banks filed publicly with deal documents.
  5. Where do the deal files go? On your server, with only the pages needed sent to the model, under your keys.

AI for M&A: questions

What is AI for M&A?

AI for M&A means using AI models and agents in the work of a deal: reading data rooms and filings, building comps and valuations, and producing the pitch books, process updates and board books a deal team sends. The most useful tools take over the extraction, the arithmetic and the layout, while bankers keep the judgment.

Can AI build an M&A pitch book or board book?

Yes. Bendou builds board books, pitch books, company profiles and process updates page by page from your deal files, computes every valuation figure from your inputs and exports the result to native PowerPoint in your template. You review each page and can change any chart, table or sentence.

Will AI replace M&A analysts?

No. A deal team spends its nights rebuilding tables, re-running premiums at a new price and aligning boxes on slides. Bendou takes over that extraction, arithmetic and layout, so the team keeps the time to advise, negotiate and decide.

Are AI-generated valuations reliable?

Only if the AI does not generate them. In Bendou, premiums, equity and enterprise values, multiples, quartiles, DCF and WACC are calculated from the inputs on each page, never written by the language model, and every input comes from your files, your messages or a cited public source.

Is it safe to use AI on confidential deal files?

Bendou runs on your firm's server: decks, files and conversations stay there. For a long document, only the relevant pages are sent to the AI model, with your firm's keys and the provider you choose.

Does Bendou work in French?

Yes. The site and the workspace are available in English and French, and decks can be written in either language.
